Article 869 of the Colombian Tax Statute (modified by Article 300 of Law 1819 of 2016) authorizes DIAN to recharacterize or reconfigure any transaction or series of transactions constituting tax abuse and disregard their tax effects, proposing and assessing the corresponding taxes, interest, and penalties. The statute defines tax abuse as the use of artificial legal acts or businesses lacking an apparent economic and/or commercial purpose, carried out to obtain a tax benefit, regardless of any additional subjective intent of the taxpayer. Paragraph 2 of Article 869 sets forth three statutory indicators of artificiality: 1) execution in a manner that is not economically or commercially reasonable; 2) generation of a high tax benefit that is not reflected in the economic or business risks actually assumed; and 3) celebration of a structurally proper but apparent legal transaction that conceals the true intent of the parties. Paragraph 3 specifies that tax benefit encompasses the elimination, reduction, or deferral of tax, an increase in tax credits or losses, or the extension of tax benefits or exemptions.
To declare tax abuse, DIAN must follow the special procedure established in Article 869-1 of the Tax Statute within the statute of limitations of the tax return. This procedure requires the issuance of a reasoned special summons (emplazamiento especial), grounded in at least summary evidence, which grants the taxpayer three (3) months to respond and provide or request evidence, during which the statute of limitations is suspended. If DIAN proceeds, it must issue a special requirement (requerimiento especial) or prior summons for failure to file, backed by the prior reasoned approval of the Local Director and a delegate of the National Audit Directorate, detailing the facts and evidence while evaluating the evidence submitted by the taxpayer. Under Article 869-2, DIAN may pierce the corporate veil of entities utilized by decision of partners, shareholders, directors, or managers. If tax abuse is established, Article 648(2) imposes a 160% inaccuracy penalty on the resulting difference, while Article 647 Paragraph 2 protects reasonable legal interpretations based on complete and truthful facts and figures. This regime is distinct from the transfer pricing rules (Article 260-1 et seq.), which operate under independent statutory standards.
Key Principles of Article 869 Tax Statute
Ligal defends corporations and shareholders by combining legal and accounting evidence from the response to the special summons through the special requirement and administrative appeals.
01
We prepare the comprehensive defense within the statutory 3-month term, producing and requesting direct evidence to rebut DIAN's summary evidence and artificiality assertions.
02
We compile decision timelines, board minutes, business plans, commercial valuations, and cash flows to prove economic rationality and harmony between legal form and substance.
03
We contest the special requirement within 3 months, verify mandatory approvals from the Local Director and national audit delegate, and file the reconsideration appeal within 2 months (Art. 720).
04
We invoke reasonable interpretation on truthful facts and figures (Art. 647 Par. 2) to challenge the 160% penalty (Art. 648 num. 2) while shielding partners and managers under Art. 869-2.
Challenging an Article 869 recharacterization requires integrating due process defense with financial and accounting auditing of corporate operations.

Taxpayers possess the lawful right to select the most efficient legal forms permitted by statute. We hold DIAN to the statutory burden of demonstrating artificiality and lack of economic purpose before recharacterizing.
Article 869-1 provides a strict 3-month window to submit and request evidence. A delayed or perfunctory answer forfeits evidentiary momentum before DIAN issues a special requirement carrying a 160% penalty.
Defending a transaction requires contemporaneous records: minutes, executed agreements, business forecasts, and actual cash flows. We do not manufacture retrospective justifications disconnected from real operations.
In audit proceedings concerning alleged tax abuse (Article 869 of the Tax Statute), DIAN holds the authority to recharacterize transactions and disregard their tax consequences when alleging artificial acts without apparent economic or commercial purpose. This power subjects companies to official assessments carrying an aggravated 160% inaccuracy penalty under Article 648(2) and potential corporate veil piercing under Article 869-2. Ligal mounts a comprehensive evidentiary defense upon notification of the special summons under Article 869-1, leveraging the three-month statutory term to introduce proof of business purpose, commercial rationality, and genuine business risk assumption. Juan Santiago Rodríguez Prieto, former DIAN tax attorney, leads the defense alongside accountant Jeysson Pulido and LIGAL Auditores (public accountants under Law 43 of 1990), enforcing procedural safeguards such as mandatory approvals from the Local Director and national audit delegate, reasonable interpretation defense under Article 647 Paragraph 2, and timely response to the special requirement (Article 707) and reconsideration appeal (Article 720). Our firm handles active audit, collection, and tax litigation cases: in a verified Google review, client Julian Rodriguez notes that through legal representation before DIAN, "we achieved the closure of a tax litigation against my company."
Please note: Ligal handles legal and accounting defense end to end — from responding to the reasoned special summons through administrative appeals and court litigation — coordinating the entire evidentiary strategy before DIAN.

Frequently Asked Questions
Article 869 of the Colombian Tax Statute (modified by Article 300 of Law 1819 of 2016) empowers DIAN to recharacterize or reconfigure any transaction or series of transactions deemed to constitute tax abuse and disregard their tax effects. Under this authority, the tax administration may assess corresponding taxes, interest, and penalties. Tax abuse exists when artificial legal acts or transactions are employed without apparent economic or commercial purpose to obtain a tax benefit, irrespective of any subjective taxpayer intent.
Paragraph 2 of Article 869 lists three indicators of artificiality: 1) execution of transactions in an economically or commercially unreasonable manner; 2) transactions yielding a substantial tax benefit not reflected in the economic or business risks actually assumed by the taxpayer; and 3) the use of a structurally valid legal transaction that is apparent and conceals the true intent of the contracting parties.
Under Paragraph 3 of Article 869, a tax benefit is defined as the elimination, reduction, or deferral of tax liabilities, the increase of tax credits or fiscal losses, and the unauthorized extension of tax exemptions or benefits obtained through the questioned arrangements.
Under Article 869-1, DIAN must commence the inquiry within the statute of limitations of the tax return by issuing a reasoned special summons supported by at least summary evidence. The taxpayer has three (3) months to answer and submit or request evidence, during which the statute of limitations is suspended. If DIAN continues, it must issue a special requirement or prior summons with the prior reasoned approval of the Local Director and a national audit delegate, detailing the facts and evaluating the taxpayer's evidence.
When a return inaccuracy stems from tax abuse provisions under Article 869, Article 648(2) of the Tax Statute imposes an aggravated inaccuracy penalty of 160% on the difference between the official assessment and the declared return. However, Article 647 Paragraph 2 provides that inaccuracy penalties do not apply when the position resulted from a reasonable legal interpretation of applicable law, provided all facts and figures declared were complete and true.
Yes. Pursuant to Article 869-2 of the Tax Statute, upon establishing tax abuse, DIAN may disregard the corporate veil of legal entities used by decision of partners, shareholders, directors, or managers to consummate tax abuse, attributing direct tax liabilities to the underlying actors.
The transfer pricing regime under Articles 260-1 et seq. is an independent statutory framework governing cross-border related-party transactions to ensure compliance with the arm's length principle. In contrast, the general anti-abuse rule under Articles 869 et seq. applies across all transactions where artificiality and lack of economic purpose are alleged to obtain tax benefits.
