Tax Audit & Official Determination · Articles 107 & 771-2 Tax Statute

Rejection of costs, deductions, and input VAT:
evidentiary and accounting defense before DIAN with the reference tax-law firm in Colombia.

When DIAN challenges deductible expenses, costs, or input VAT in a special requirement or official review assessment, legal defense requires proving transaction substance, commercial necessity (Art. 107 E.T.), and banking channel compliance (Art. 771-5 E.T.). Ligal builds evidentiary dockets and challenges 100% inaccuracy penalties.

Statutory Standards for Expenses, Deductions & Tax Invoices

Tax disallowance of costs and business expenses: commercial standard under Article 107 E.T., electronic invoicing, and banking channels.

Under Colombian income tax law, Article 107 of the Tax Statute (Estatuto Tributario - E.T.) establishes the core deductibility standard: expenses incurred during the taxable year in carrying on any income-producing activity are deductible, provided they have a causal relationship (relación de causalidad) with the activity and are necessary and proportionate in accordance with ordinary commercial practice in the relevant sector, subject to statutory limits, with an absolute prohibition on deducting expenses arising from conduct classified as intentional criminal offenses. Furthermore, Article 107-1 E.T. (added by Law 1819 of 2016) caps customer, vendor, and employee entertainment expenses (gifts, courtesies, events) at 1% of net fiscal revenues. Regarding invoice support, Article 771-2 E.T. mandates invoices satisfying literals (b), (c), (d), (e), (f), and (g) of Article 617 (equivalent documents: literals b, d, e, and g); crucially, paragraph 2 of Article 771-2 E.T. clarifies that costs and expenses actually incurred during the tax year remain deductible even if the invoice is dated in the following year, provided performance of the service or delivery of the goods within the taxable year is substantiated. Under Article 616-1 E.T. (amended by Law 2155 of 2021), electronic invoices are deemed issued only upon validation and delivery, and POS cash-register receipts confer no entitlement to tax costs, deductions, or input VAT.

Regarding employment expenses, DIAN Resolution 000013 of 2021 mandates that the electronic payroll support document (nómina electrónica) constitutes the indispensable proof for deductible labor costs and input VAT, coupled with Article 108 E.T. requiring proof of payment of social security contributions and payroll taxes (Law 100 of 1993), as well as verifying independent contractors' social security affiliations and payments (paragraph 2). To secure tax deductibility of payments, Article 771-5 E.T. imposes strict banking channel compliance (bancarización): payments must be routed through bank deposits, transfers, checks made out to the first beneficiary, credit/debit cards, or other authorized means, without precluding payments in kind or other statutory modes of obligation extinguishment recognized under Article 1625 of the Civil Code; as of 2021, cash payments are recognized only up to the lower of 40% of amounts paid (maximum 40,000 UVT) and 35% of total costs and deductions, while individual cash payments exceeding 100 UVT made by legal entities and by individuals with non-labor income must be channeled through financial means, under penalty of tax disallowance (with special rules for agriculture). Moreover, Article 771-6 E.T. empowers DIAN to reject payments abroad when the beneficial owner is 50% or more the taxpayer itself, or when funds flow to non-cooperative or low-tax jurisdictions, absent valid tax residence certificates or proven core business purpose. When DIAN disallows these partidas, it routinely alleges tax inaccuracy under Article 647(3) E.T. and assesses a 100% penalty on the tax difference (Article 648 E.T.); it must be noted that, pursuant to paragraph 2 of Article 647 E.T., inaccuracy is not configured when the lower value derives from a reasonable interpretation of applicable law, provided that the facts and figures are complete and true.

Deductibility & Compliance Checklist

  • Substantive rule: causal link, commercial necessity, and proportionality (Art. 107 E.T.).
  • Entertainment limit: customer and staff entertainment capped at 1% of net fiscal revenues (Art. 107-1 E.T.).
  • Electronic invoices: validated e-invoice required; subsequent-year invoices accepted if executed in-period (Art. 771-2 par. 2 E.T.).
  • Electronic payroll: transmission required (Res. 000013 of 2021) with social security clearance (Art. 108 E.T.).
  • Banking compliance: individual payments > 100 UVT of legal entities and individuals with non-labor income: via financial channels (Art. 771-5 par. 2 E.T.).
  • Penalty safe-harbor: reasonable legal interpretation excludes 100% inaccuracy penalty (Art. 647 par. 2 E.T.).

Professional Standards

What we do not do in cost and deduction controversies.

We do not rely solely on providing isolated electronic invoices

DIAN demands proof of economic reality. We construct exhaustive evidentiary files comprising contracts, deliverables, operational logs, and banking traces under Article 771-5 E.T.

We do not accept disallowance based on curable formal defects

Under Article 771-2 paragraph 2 E.T., an invoice date mismatch does not impair deductibility if the service was performed during the tax year. We enforce substance over mere form.

We never leave the 100% inaccuracy penalty unchallenged

Whenever a legitimate difference in fiscal interpretation exists, we establish complete factual veracity to trigger the reasonable interpretation defense under Article 647 paragraph 2 E.T.

Specialized Legal Defense

Rejection of costs and deductions: evidentiary defense against DIAN audits.

In tax audit proceedings where DIAN issues a special requirement (Article 703 of the Tax Statute) or an official review assessment (Article 710 of the Tax Statute), the disallowance of costs, deductions, or input VAT typically rests on alleged causality failures under Article 107 of the Tax Statute, claimed invoicing flaws (Article 771-2 of the Tax Statute), or banking limits (Article 771-5 of the Tax Statute). Against these challenges, Colombian law upholds commercial reality: Article 771-2 paragraph 2 E.T. accepts expenses invoiced in the following year if executed in-period, and properly kept accounting books constitute proof in favor of the taxpayer (Art. 772 E.T.), subject to the requirements of Art. 774, and the certification by an accountant or statutory auditor constitutes accounting evidence (Art. 777). Juan Santiago Rodríguez Prieto, former DIAN tax attorney, directs legal strategy alongside accountant Jeysson Pulido and LIGAL Auditores (CPAs, Law 43 of 1990) to build evidentiary files, reply within the three months of Article 707 E.T., and challenge the 100% inaccuracy penalty through the reasonable interpretation defense of Article 647 paragraph 2 E.T. The firm handles real-world tax audit, coercive collection, and litigation cases: in a verified Google review, client Julian Rodriguez notes that, through legal representation before DIAN, "logramos el archivo de un litigio tributario que teníamos en contra de mi empresa" (we achieved the closure of a tax litigation proceeding against my company).

Please note: the response to the special requirement (Art. 707 E.T., three months) is the opportunity to raise objections and request evidence, and the official assessment may only address facts contemplated in the special requirement or its expansion (Art. 711 E.T.).

Frequently Asked Questions

Key Questions on DIAN Disallowed Costs, Deductions, and Input VAT

Expenses must be incurred during the tax year in carrying on an income-producing activity, maintaining a direct causal relationship (causalidad) with such activity, and being necessary and proportionate in light of ordinary commercial practices in the relevant sector. Additionally, expenses derived from conduct classified as intentional criminal offenses are strictly non-deductible.

Pursuant to paragraph 2 of Article 771-2 of the Tax Statute (added by Law 1819 of 2016), costs and expenses actually incurred during the taxable year are legally deductible even if the electronic invoice bears a date in the subsequent year, provided the taxpayer substantiates that the service was performed or goods were delivered within the relevant tax period.

For fiscal recognition, payments must be channeled via bank deposits, transfers, checks to the first beneficiary, or cards. Since 2021, cash payments are recognized only up to the lower of 40% of amounts paid (capped at 40,000 UVT) and 35% of total costs and deductions. Furthermore, individual cash payments exceeding 100 UVT made by legal entities and by individuals with non-labor income must be channeled through financial means, under penalty of tax disallowance (Art. 771-5 par. 2 E.T.).

Under Article 616-1 of the Tax Statute (amended by Article 13 of Law 2155 of 2021), cash register POS receipts confer no right to deduct costs or expenses in income tax, nor do they confer entitlement to input VAT for the purchaser. To claim deductions, taxpayers must obtain a validated and delivered electronic sales invoice.

Yes, for those who intend to treat such labor payments as a cost or deduction. DIAN Resolution 000013 of 2021 establishes that the electronic payroll payment support document, transmitted and validated by DIAN, is the mandatory support for labor deductions and related input VAT. Furthermore, Article 108 of the Tax Statute requires full compliance with payroll parafiscales and social security contributions (Law 100 of 1993) to deduct salaries.

While Article 648 of the Tax Statute imposes a general 100% penalty on the resulting tax difference, paragraph 2 of Article 647 expressly states that inaccuracy does not exist when the lower tax payable arises from a reasonable interpretation of applicable law, provided that facts and figures disclosed in the tax return are complete and true.
