Statutory Tax Obligations for US Entity Owners

How to declare a US LLC before DIAN: gross wealth, foreign assets return, and income tax regime.

Under Article 261 of the Colombian Tax Statute (Estatuto Tributario - E.T.), the gross wealth (patrimonio bruto) of Colombian tax residents comprises all assets and rights located both in Colombia and abroad. Natural persons must declare foreign assets starting in the taxable year they qualify as Colombian tax residents, which includes membership interests or rights in US LLCs, as well as associated bank accounts or real property. Under Article 269 of the Tax Statute, foreign currency assets are recognized in Colombian pesos at the official exchange rate (TRM) on the date of initial recognition. While US LLCs are often treated as pass-through entities for US federal income tax purposes by the IRS, Colombian tax legislation requires an independent evaluation of the foreign entity interest and underlying assets relative to the taxpayer's Colombian fiscal residence.

Furthermore, Article 607 of the Tax Statute (added by Article 43 of Law 1739 of 2014) mandates an annual foreign assets return (declaración anual de activos en el exterior) for tax residents holding assets outside Colombia. Assets exceeding 3,580 UVT in patrimonial value must be itemized with jurisdiction, nature, and value, while smaller assets are reported in aggregate. Under the statutory paragraph of Article 607 (as amended by Law 2010 of 2019), this return is required only when total foreign assets as of January 1 exceed 2,000 UVT. For income tax, residents are subject to tax on worldwide income; LLC earnings and distributions must be declared, taking into account the foreign tax credit under Article 254 E.T. (limited to the Colombian tax attributable to such foreign-source income) and evaluating the Controlled Foreign Corporation rules (régimen ECE, Articles 882 et seq. E.T.) where passive income is present. If DIAN detects omitted foreign assets, Article 239-1 E.T. treats them as taxable net income (renta líquida gravable) of the most recent open tax year with a 200% inaccuracy penalty, alongside potential criminal exposure under Article 434A of the Colombian Penal Code, which Ligal defends directly end to end.

Key Legal Rules for US LLCs Before DIAN

  • TRM valuation: Art. 269 E.T. values foreign currency assets at the initial recognition exchange rate.
  • Foreign assets return (Art. 607 E.T.): mandatory if total assets exceed 2,000 UVT at Jan 1; itemized over 3,580 UVT.
  • Income tax & ECE: worldwide taxation, Art. 254 E.T. foreign tax credit, and evaluation of the ECE regime (Arts. 882 et seq. E.T.).
  • 200% penalty: Art. 239-1 E.T. taxes omitted assets as net liquid income plus a 200% inaccuracy penalty.
  • FX regime & criminal defense: Banco de la República registration and direct defense under Art. 434A of the Penal Code.

Professional Standards

What we do not do when advising on US LLC tax compliance.

We do not promise expired tax normalization amnesties

The extraordinary 2026 tax normalization window has expired. We do not offer non-existent retroactive amnesties; we regularize compliance strictly through current statutory correction mechanisms under the Tax Statute.

We do not disregard Banco de la República exchange rules

International investments made by Colombian residents are subject to mandatory foreign exchange regulations. Neglecting reporting obligations exposes taxpayers to administrative fines separate from DIAN.

We do not treat US LLCs as invisible offshore structures

DIAN participates in international automatic tax information exchanges. Assuming US entities need not be reported leads to omitted asset assessments as net liquid income plus a 200% inaccuracy penalty under Article 239-1 E.T.

Specialized Legal Counsel & Defense

US LLC tax and exchange compliance: technical counsel and end-to-end defense before DIAN.

For a Colombian tax resident, owning a US LLC creates substantive reporting duties: declaring worldwide gross wealth under Article 261 of the Tax Statute, valuing assets at the initial recognition TRM under Article 269, filing the annual foreign assets return under Article 607, and declaring worldwide income. Juan Santiago Rodríguez Prieto, former DIAN tax attorney, leads the legal analysis alongside accountant Jeysson Pulido and LIGAL Auditores (public accountants under Law 43 of 1990) to review the ECE regime (Articles 882 et seq.), foreign tax credits under Article 254, and Banco de la República registrations. When assets were omitted in previous years, we structure voluntary corrections or lead direct administrative and criminal tax defense under Article 434A of the Penal Code. Our firm handles real tax audit, collection, and litigation matters: in a verified Google review, client Julian Rodriguez notes that, thanks to representation before DIAN, "logramos el archivo de un litigio tributario que teníamos en contra de mi empresa".

Please note: Ligal handles tax advisory, foreign exchange compliance, and criminal tax defense end to end, with direct representation before DIAN and judicial courts without outsourcing.

Frequently Asked Questions

Declaring a US LLC before DIAN, explained clearly

Yes. Under Article 261 of the Colombian Tax Statute (Estatuto Tributario), the gross wealth of Colombian tax residents includes all assets and rights held both in Colombia and abroad, encompassing membership interests and equity rights in a US LLC as well as associated foreign bank accounts. Natural persons must declare them starting in the taxable year they become Colombian tax residents.

Pursuant to Article 269 of the Tax Statute, assets denominated in foreign currency must be recognized in Colombian pesos using the market representative exchange rate (TRM) on the date of initial recognition. This valuation standard applies to equity holdings in the LLC, foreign bank accounts, and real property held abroad.

Article 607 of the Tax Statute (added by Article 43 of Law 1739 of 2014) requires this return from Colombian tax residents holding assets outside Colombia. Under its statutory paragraph (as amended by Law 2010 of 2019), the filing is mandatory only when total foreign assets as of January 1 exceed 2,000 UVT. Any individual asset exceeding 3,580 UVT must be itemized with jurisdiction, asset nature, and patrimonial value; assets below 3,580 UVT are reported in aggregate.

Colombian tax residents are subject to tax on their worldwide income. Income generated or distributed by a US LLC must be included in the Colombian income tax return. Article 254 of the Tax Statute allows a tax credit for taxes paid abroad on such income, capped at the Colombian tax attributable to that foreign revenue. In addition, when a Colombian resident controls a foreign entity that generates passive income, the Controlled Foreign Corporation rules (régimen ECE, Articles 882 et seq. E.T.) must be evaluated.

If DIAN discovers omitted foreign assets, Article 239-1 of the Tax Statute treats the omitted amount as taxable net income (renta líquida gravable) in the most recent open tax year, imposing an inaccuracy penalty of 200%. Moreover, omitting foreign assets may configure the criminal tax offense defined in Article 434A of the Colombian Penal Code, which Ligal defends directly end to end.

Yes. All foreign investments made by Colombian residents, including capital contributions to a US LLC and the funding of foreign bank accounts, are governed by the foreign exchange regulations of Banco de la República. They must be registered and channeled through compliant exchange mechanisms to avoid administrative fines.

No. The deadline for the extraordinary tax normalization window of 2026 has expired, and no special normalization window is currently open. Consequently, regularizing undeclared foreign assets must be handled through ordinary filing procedures or voluntary return corrections under the general rules of the Tax Statute.
