Asset diagnostic and family objectives
We map assets, shareholders, operating companies, and goals (control, generational handover, orderly succession) to decide whether a holding, a fiducia, both, or neither is the right path.
A family holding (SAS) or a fiducia mercantil helps organize assets, define who is in control, and ease succession; it is not a way to evade taxes or escape existing debts. Ligal designs and reviews them with lawyers and accountants.

The family holding is generally a company (often an SAS governed by Law 1258 of 2008) to which family members contribute shares, real estate, or other assets, so that the family's wealth sits under a single corporate governance structure. A contribution to a Colombian company may receive the treatment of Article 319 of the Tax Code (Estatuto Tributario, added by Article 98 of Law 1607 of 2012): the contribution, in cash or in kind, does not generate taxable income for the company, is not a disposal, and generates neither income nor loss for the contributor, provided the conditions are met. These include: the company issues new shares or quotas; it keeps the contributor's tax basis, with a statement in the document; the shares received carry the same tax basis as the assets contributed; the assets keep their nature as fixed or movable assets; and both parties expressly declare in the document that they are subject to Article 319. This treatment is a deferral, not an exemption: taxable income arises when the shares received or the contributed assets are sold, and if the contributed fixed assets or the shares received are sold within two years after the contribution, tax losses and excess presumptive income cannot be offset against that income. Dividends the holding distributes to resident individuals are governed by Article 242 of the Tax Code (as amended by Law 2277 of 2022), which integrates them into the taxable base under the rate of Article 241.
A fiducia mercantil works differently: the settlor transfers assets to an autonomous estate (patrimonio autónomo) managed by a trust company, under defined instructions and beneficiaries. Under Article 102 of the Tax Code, fiduciary rights carry the tax basis and tax conditions of the assets contributed to the autonomous estate, and the transparency principle applies: beneficiaries include the income, costs, and expenses of the autonomous estate in their own return in the same period and under the same tax conditions; if beneficiaries cannot be identified (for example, because of suspensive conditions), the autonomous estate is taxed as a company. Income or occasional gain also arises for the settlor when assets or rights are transferred to persons other than the settlor, and if the transfer is gratuitous, the tax arises for the beneficiary. Both vehicles are part of what we develop in our wealth planning practice and they complement, not replace, a will and succession proceedings: transfers by succession or donation generate occasional gain, and forced-heirship rules (legítimas) are strict. That is why a holding and a family protocol are typically used to decide in advance who controls the family business, and SAS bylaws can include shareholder agreements and restrictions on share transfers. What neither vehicle does is protect against debts that already exist: transfers made to the detriment of creditors can be challenged in court, as we explain below.
Key points of the structure
Ligal reviews whether a holding or a fiducia is the right tool for your family, compares it with a will and succession, and documents the tax effects and risks before anything is signed.
01
We map assets, shareholders, operating companies, and goals (control, generational handover, orderly succession) to decide whether a holding, a fiducia, both, or neither is the right path.
02
We structure contributions of shares, real estate, or other assets, verifying issuance of new shares, preserved tax basis, the statement in the document, and the express declaration of subjection to Article 319.
03
We analyze the trust agreement, the beneficiaries, the tax basis of fiduciary rights, and the effect of transfers to persons other than the settlor, with the accounting up to date.
04
We draft bylaws and shareholder agreements (Law 1258 of 2008), with restrictions on share transfers and governance rules, and document the family protocol that gives order to succession.
A holding or a fiducia requires combining corporate law, tax effects, and accounting. At Ligal, a single team does it.
Director · Tax attorney, former DIAN
Leads the legal and tax design of the structure: contributions, bylaws, fiducia, and risk review before the tax authority.
Accountant · Tax basis and accounting support
Reconstructs the tax basis of contributed assets, verifies the accounting, and projects the tax effects of dividends, disposals, and transfers.
Public accountants · Law 43 of 1990
Accounting review and certifications that support the structure and leave it ready for future DIAN reviews.
Article 319 defers the tax, it does not remove it: it arises when the shares or the contributed assets are sold. A structure without real purpose or support is not planning; it is a risk.
If a debt, a proceeding, or a collection action already exists, transferring assets to the detriment of a creditor can be challenged through a Paulian action or a simulation action, and may have criminal consequences. We do not design structures for that purpose.
A holding and a family protocol organize control, but they do not remove forced heirship or the tax effects of an inheritance or donation. We compare the alternatives honestly before recommending one.
Ligal advises business families in Colombia who want to organize their assets, define who controls the company, and prepare succession through an SAS holding, a fiducia mercantil, or a combination of both. Juan Santiago Rodríguez Prieto, a tax attorney and former DIAN official, leads the strategy together with accountant Jeysson Pulido and LIGAL Auditores (public accountants, Law 43 of 1990), so that the contribution, the tax basis, the bylaws, and the family protocol are documented from the start and withstand a potential review. The structure must be built with real purpose and before any debt or proceeding exists. If the concern is asset risk in the face of seizures, the analysis is different and we address it in our article on DIAN seizures. The firm handles real audit, coercive collection, and tax litigation cases: in a verified Google review, client Julian Rodriguez shares that, thanks to representation before DIAN, "we achieved the closure of a tax lawsuit pending against my company".
Please note: a holding or a fiducia is not a tool against existing debts. Its value lies in order, control, and succession, with real purpose.

Frequently asked questions
It is a company, often an SAS governed by Law 1258 of 2008, to which family members contribute shares or other assets so that the family's wealth sits under a single corporate governance structure. It serves to define who controls the family business, organize succession, and set clear rules through bylaws, shareholder agreements, and a family protocol. It is not a tool to evade taxes or to protect against debts that already exist.
It may not, if Article 319 of the Tax Code (added by Article 98 of Law 1607 of 2012) is met: a contribution in cash or in kind to a Colombian company does not generate taxable income for the company, is not a disposal, and generates neither income nor loss for the contributor, provided that new shares or quotas are issued, the company keeps the contributor's tax basis with a statement in the document, the shares received carry the same tax basis as the contributed assets, the assets keep their nature as fixed or movable assets, and both parties expressly declare they are subject to Article 319. It is a deferral: taxable income arises when the shares received or the contributed assets are sold.
The taxable income from the disposal arises. In addition, if the contributed fixed assets or the shares received are sold within two years after the contribution, tax losses and excess presumptive income cannot be offset against that income, under Article 319 of the Tax Code. That is why the horizon of the structure should be defined from the start.
Fiduciary rights carry the tax basis and tax conditions of the assets contributed to the autonomous estate. The transparency principle applies: beneficiaries include the income, costs, and expenses of the autonomous estate in their return in the same period and under the same tax conditions. If beneficiaries cannot be identified, for example because of suspensive conditions, the autonomous estate is taxed as a company. Income or occasional gain arises for the settlor when assets or rights are transferred to persons other than the settlor; if the transfer is gratuitous, the tax arises for the beneficiary.
Dividends distributed to resident individuals are governed by Article 242 of the Tax Code (as amended by Law 2277 of 2022), which integrates them into the taxable base and applies the rate of Article 241. The concrete outcome depends on each shareholder's situation, so it is reviewed case by case. A holding does not eliminate tax on dividends.
No. Succession can be handled before a notary or in court, forced-heirship rules are strict, and transfers by succession or donation generate occasional gain. A holding, SAS bylaws, and a family protocol help decide in advance who controls the business and reduce conflict, but they complement succession planning; they do not replace it. We can compare them for your specific case.
No. The autonomous estate is separate from the settlor's estate, but transfers made to the detriment of creditors can be challenged. Article 2491 of the Civil Code provides the Paulian action: onerous contracts can be rescinded when both parties acted in bad faith, and gratuitous acts by proving the debtor's bad faith and the harm, within one year of the act. A simulation action is also available. Under criminal law, Article 253 of the Penal Code punishes asset concealment (alzamiento de bienes), that is, hiding assets or committing fraud to harm a creditor. Partners may also face joint liability for the company's tax debts. For the analysis of seizures, see our article on DIAN seizures.
